Terms of service
SEAN REVIEW: legal counsel must approve before this document is considered binding. Conservative defaults below, drafted from common Australian SaaS templates, are a starting point and not a substitute for a tailored opinion.
1. Who we are
Sourzi is operated from Sydney, Australia by the founder, with a sourcing team based in Shanghai Pudong, China. The service comprises the public website at sourzi.com, the published reference content (glossary, regulatory pages, China-export Top 100, blog), the calculator and lookup tools, and any account or subscription products available from time to time.
Contact for legal notices: sourcing@sourzi.com.
2. Acceptance
You accept these terms by using the site, opening an account, or paying for a subscription. If you do not accept, do not use the service.
3. The service and the reference content
The reference pages (glossary, regulatory cross-jurisdiction entries, China-export Top 100, blog, guides) are general practitioner information for buyers and procurement teams. They are not a substitute for primary-source verification, professional regulatory advice, or a tailored legal opinion. Verify every classification, case number, and rate against the regulator's current portal before acting on it.
The tools (calculators, lookups, generators) return indicative results from publicly available rules and your inputs. They do not file, submit, or transmit anything on your behalf unless explicitly stated on the tool page. Verify every output against the binding source named on the tool page before a shipping, customs, or compliance decision.
4. Accounts and subscriptions
The Free tier requires only an email address and a verified magic-link sign-in. The Pro tier requires a paid subscription billed monthly through Stripe at the displayed price. Subscription invoices, payment-method changes, and cancellation are managed through the Stripe Customer Portal accessible from your account page.
You are responsible for the activity that takes place on your account. Notify us immediately at sourcing@sourzi.com if you believe your account has been accessed without authorisation.
5. Cancellation and refunds
Cancellation takes effect at the end of the current billing period; you retain Pro tier access until that date. Refund handling is covered separately in the refund policy. Australian consumers retain statutory consumer-guarantee rights under the Australian Consumer Law regardless of these terms.
6. Acceptable use
Do not scrape, mirror, resell, or systematically copy the reference content. Do not attempt to circumvent the paywall on Pro tier tools. Do not use the service to send unsolicited commercial communications, store personal data of third parties unlawfully, or upload material you do not have rights to.
7. Intellectual property
Sourzi or its licensors own all reference content, tool logic, designs, and trademarks. You receive a non-exclusive, non-transferable, revocable licence to use the service for your internal business purposes for the duration of your subscription (or, for the Free tier, while these terms remain in force).
8. Disclaimer of warranties
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Sourzi disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The non-excludable consumer guarantees under the Australian Consumer Law continue to apply where the recipient is an Australian consumer.
9. Limitation of liability
To the maximum extent permitted by law, Sourzi is not liable for indirect, incidental, consequential, special, or exemplary damages, including loss of revenue, lost shipments, demurrage, or detention costs arising from any use, misuse, or inability to use the service. Where liability cannot be excluded by law, Sourzi's aggregate liability is capped at the subscription fees paid by you in the twelve months preceding the claim.
10. Indemnity
You agree to indemnify Sourzi against claims arising from your breach of these terms or your unlawful use of the service.
11. Suspension and termination
Sourzi may suspend or terminate your access where you breach these terms or where required by law. Sourzi may also terminate any subscription on thirty days written notice for any other reason; in that case any pre-paid fees for the unused remainder of the period are refunded.
12. Privacy
Personal information handling is described in the privacy policy, which is incorporated by reference into these terms.
13. Governing law and jurisdiction
These terms are governed by the laws of New South Wales, Australia. Disputes are subject to the exclusive jurisdiction of the courts of New South Wales, subject to any non-excludable right of an Australian consumer to bring proceedings in their home jurisdiction.
14. Changes
Sourzi may update these terms from time to time. Material changes will be notified to active account holders by email at least fourteen days before they take effect. Continued use after the effective date is acceptance of the updated terms.
15. Contact
